2. Eligibility and Accounts
- You must be at least 18 and legally able to enter a contract.
- You must provide accurate, current information and keep it updated.
- You are responsible for all activity under your account and for keeping credentials confidential. Notify us immediately of unauthorised access at contact@mantraassist.com.
- Sharing login credentials outside your authorised team is not permitted.
- We may reject, suspend or verify accounts (including business verification) at our discretion and where needed for legal or Meta compliance.
3. Meta and WhatsApp Compliance
Use of WhatsApp through MantraAssist is subject to, and you agree to comply with, all applicable Meta terms and policies, including the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, Meta Platform Terms and Developer Policies, and Meta Business Tools Terms, as updated from time to time. In particular, you must:
- Obtain valid opt-in from every recipient before sending them business-initiated messages, clearly stating the business name and the type of messages they will receive, and honour opt-outs promptly (for example, the reply “STOP”);
- Use approved message templates for business-initiated messages outside the customer-service window;
- Not send spam, unsolicited bulk messages, deceptive, misleading or harassing content;
- Not send or request prohibited or sensitive information as defined by Meta and applicable law (for example, government ID numbers, full financial account or card details, or other data Meta restricts);
- Not use the Platform for illegal, restricted or prohibited businesses or content, including scams, phishing, counterfeit goods, adult content, unauthorised financial schemes or any category Meta prohibits;
- Maintain message quality and respond to recipients in a timely and accurate manner.
You keep ownership of your WhatsApp Business Account and phone number, you are responsible for accepting Meta’s terms and maintaining a valid payment method with Meta, and you can disconnect MantraAssist at any time from your Meta Business settings or from our dashboard.
Meta may restrict, suspend or disable WhatsApp Business Accounts, phone numbers or messaging limits at its sole discretion. MantraAssist does not control Meta’s decisions and is not responsible for such actions, but we will reasonably assist Customers in understanding and responding to them.
4. Acceptable Use
You agree not to:
- Violate any law or the rights of others, including privacy and intellectual-property rights;
- Upload contact data without a lawful basis or required consent;
- Send malicious code, attempt to breach or overload the Platform, or bypass usage limits or security controls;
- Reverse engineer, scrape, resell or sublicense the Platform except as expressly permitted;
- Use AI voice or chat features to impersonate a person, mislead recipients about interacting with an AI, or make automated calls or messages in breach of telecom, do-not-disturb or anti-spam regulations;
- Use the Platform to make decisions with legal or similarly significant effects on individuals without appropriate human oversight.
Where required by law, Customers must disclose to End Users that they are interacting with an automated or AI system and obtain any consent needed to record calls.
5. Customer Data and Privacy
- Ownership. As between you and MantraAssist, you retain all rights in the data you and your End Users submit to the Platform (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide, secure and support the Platform.
- Roles. For End User data, you are the controller and we act as your processor under our Privacy Policy and, where applicable, a Data Processing Agreement. You are responsible for lawful collection, notices, consents and responding to End User requests.
- Healthcare data. If you process protected health information or other sensitive health data through the Platform, you must comply with all laws that apply to you. You are also responsible for deciding whether it is appropriate to send such information over any communication channel, including third-party messaging platforms such as WhatsApp. Where HIPAA applies and you want us to process protected health information, contact us before doing so so that appropriate contractual terms can be agreed.
- Retention and deletion. Customer Data is retained and deleted as set out in the Privacy Policy and your configuration. You are responsible for exporting data you want to keep before deletion or account closure.
- Aggregated data. We may use de-identified, aggregated usage statistics to operate and improve the Platform. This will not identify you or your End Users.
6. Fees, Billing and Taxes
- Plans are billed in advance on a subscription and/or usage basis as shown on your order or pricing page. Telephony and other usage charges are billed as applicable. WhatsApp message charges are billed by Meta directly to your Meta account at Meta’s then-current rates, not by us, unless we agree otherwise in writing.
- Payments are processed by third-party gateways; we do not store card details.
- Fees are exclusive of applicable taxes (such as sales tax, VAT or GST), which you are responsible for.
- We may change prices on at least 30 days’ written notice; changes apply at your next renewal or billing cycle.
- Unpaid amounts may lead to suspension after notice. Late amounts may attract interest as permitted by law.
7. Refund and Cancellation Policy
- You may cancel your subscription at any time from your account or by writing to contact@mantraassist.com. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Fees for periods already started, usage-based charges, third-party pass-through charges (such as Meta or telephony fees) and completed setup or onboarding services are non-refundable, except where required by applicable law.
- If we fail to provide the Platform materially as described and cannot fix the issue within a reasonable time after you notify us, you may request a pro-rata refund of prepaid fees for the affected period. Requests must be made within [30] days and are reviewed in good faith.
- Duplicate or erroneous charges will be corrected or refunded.
8. Service Availability and Changes
We aim for high availability but do not guarantee uninterrupted or error-free service. Downtime may occur due to maintenance, or failures of third-party providers (including Meta, telecom operators and cloud providers). We will use reasonable efforts to give advance notice of planned maintenance. We may modify or discontinue features, and will give reasonable prior notice (at least 30 days where a change materially reduces functionality you have paid for).
9. AI Features
AI-generated responses and transcriptions may be inaccurate, incomplete or unsuitable. You are responsible for configuring, testing and monitoring your AI agents, including prompts, knowledge bases and escalation to human staff, and for reviewing outputs before relying on them, especially in healthcare contexts. Emergency situations must not be handled solely by an AI agent; you must configure appropriate escalation to a human or emergency instructions.
10. Intellectual Property
The Platform, including its software, design, models, documentation and trademarks, is owned by MCH International LLC or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform during your subscription in accordance with these Terms. You may not copy, modify or distribute any part of the Platform except as permitted. Feedback you give us may be used without obligation.
11. Third-Party Services
The Platform integrates with third-party services such as Meta, Google, payment gateways and telephony providers. Their use is subject to their own terms. We are not responsible for third-party outages, policy changes or actions, although we will act with reasonable care in selecting and integrating them.
12. Suspension and Termination
- By you: you may stop using the Platform and cancel at any time (Section 7).
- By us: we may suspend or terminate access immediately where necessary to comply with law or Meta requirements, to prevent fraud, spam or abuse, or to protect the Platform or others. In other cases (for example, non-payment or breach that can be cured) we will give notice and a reasonable opportunity to remedy before suspending.
- Effect: on termination your right to use the Platform ends. We will make Customer Data available for export for [30] days (unless prohibited by law or the reason for termination), after which it is deleted as described in the Privacy Policy.
Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, indemnity and governing law) will survive.
13. Disclaimers
To the maximum extent permitted by law, the Platform is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that messages or calls will be delivered, that the Platform will meet your requirements, or that AI outputs will be accurate. MantraAssist does not provide medical, legal or financial advice.
14. Limitation of Liability
To the maximum extent permitted by law:
- MantraAssist will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising from your use of the Platform;
- Our total aggregate liability for any claim relating to the Platform will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or wilful misconduct.
15. Indemnity
You agree to indemnify and hold harmless MantraAssist and its officers and employees from claims, losses and expenses (including reasonable legal fees) arising from your Customer Data, your breach of these Terms, applicable law or Meta policies, or your messaging practices (including lack of consent or opt-in).
16. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Platform, using at least reasonable care, and use it only for the purposes of these Terms, except where disclosure is required by law.
17. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email or in-product notice before they take effect. Continued use after the effective date means you accept the updated Terms. If you do not agree, you may cancel before the effective date.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States. The parties will first try to resolve disputes in good faith through discussion. Failing that, disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.
19. General
These Terms, together with the Privacy Policy, any order form and any Data Processing Agreement or other written data-protection agreement between us, form the entire agreement between us. If any provision is unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of business. Neither party is liable for delay caused by events beyond its reasonable control.
